积极建立有效的国企治理结构

摘    要:现阶段严重影响国企法人治理结构建立和运作的主要原因 :政企难分 ,“改制不转制” ;企业内部权力重叠 ,相互掣肘 ;“内部人控制失控”的现象严重 ;对经营者没有建立起有效的选拔激励机制。完善国企法人治理结构需要 :确保所有者在位 ;确保董事会履行其受托责任 ;确保董事会对高层经理人员的监督 ;对经理人员要有足够的硬约束与激励机制。

Abstract:At present stage,the main reasons that have hindered greatly the establishment and operation of the state-owned enterprise legal person administrative mechanism are as follows:non-separation of administrative interference and enterprise operation;reformation instead of transformation;overlapping of executive powers and thus restraint between one and another within the enterprise;runaway of the stuff members;lack of an effective manager promotion and competition mechanism.The state-owned enterprise legal person administralive mechanism may be improved in condition of keeping proprietors in their places;fulfilling of commitments by the board of directors;the supervisation of directors over the senior managers;a restriction and competition mechanism for the managers.
