建立中国表决权信托制度的法律思考

表决权信托是信托机制在公司法领域的拓展和创新,它是以股东表决权为客体的一种特殊信托,其功能丰富,常被用来平衡股东利益、保有公司的控制权、确保公司管理的稳定性和连续性、保障债权人的利益,有利于公司融资、提高公司决策效率等.然而在我国公司运作实践中已经存在表决权信托的情况下,现行<公司法>并未对表决权信托制度作出规定,这对公司的良性发展不利.因此,应在我国<公司法>、<证券法>和<信托法>中增加对表决权信托的规定,把表决权信托纳入我国法律体系的调整范围,从而建立我国表决权信托法律制度.
