试论我国国有商业银行的公司治理结构改革

国有商业银行的公司治理结构改革是国有银行商业化的关键 ,也是实现中国银行业与国际接轨的必要准备。我国国有商业银行的公司治理结构改革的基础是实行股份制改造 ,即实行产权主体多元化 ,选择国家相对控股的股权结构安排 ,并在此基础上 ,设计代理权竞争、股权激励、融资结构等适当的激励与约束机制 ,以保证公司治理结构改革的顺利实施。
