Legal Thinking on the System Reconstruction of Supervisory Board on China's Stock Company

The old corporation law with legislative defects has not set up the mechanism that ensures the supervisory powers proceeding effectively. It is the best chosen that the reconstruct of supervisory board system to improve supervisory system on stock company. This article analyses supervisory board system reconstructed by the active corporation law in aspects such as constitution, powers, proceeding and constraint of supervisory board. In the end the author gives the practical suggestions of perfecting supervisory board system.
