| 摘 要： | 管理层收购为实现国有中小企业多元化的产权结构提供了一个宽广的思路。但是收购定价以净资产为基准的定价方式有失公允。管理层收购成败的一个关键在于收购公司的定价是否合理,还要考虑企业的未来盈利能力和管理层的人力成本,交叉使用几种收购定价模式,综合确定收购的公允价值。

| Abstract: | MBO leaves greater prospect for the state-owned SMEs to realize diversified property right structure.However,it is an unfair buyout pricing means based on net assets.The right pricing tactics largely decides MBO's success,which should involve enterprise payback and human cost,several interdependent means can be employed to work out the fair pricing pattern. |
