| 摘 要： | 对照中国上市公司内部治理结构特征,着重从股权模式、董事会结构、监事会结构、管理层激励机制和机构投资者等方面进行分析,说明中国上市公司并没有形成真正体现现代企业制度内涵的运作机制,导致内部治理弱化,强化了内部人控制。

| Abstract: | A comparison of the characteristics of internal governance structure of listed companies in China is made. It emphasizes from the aspects of ownership model, board of directors structure, board of supervisors structure, incentive mechanism of management, etc. It shows that Chinese listed companies haven't really embodied the operation mechanism of modern corporate institution, resulting in weakening the internal governance, consolidating insider control. |
