企业家人力资本与企业产权安排的制度考察

摘    要:由业主制到合伙制再到现代股份制企业,在整个企业变迁过程中,企业家人力资本越来越显示出对企业发展的影响和作用。企业家人力资本与企业产权安排的不同模式和相机治理直接影响企业家人力资本的受激励水平、程度以及企业治理效率。本文从历史、现实的逻辑对3种典型的企业形态中企业家人力资本与企业产权安排进行考察,并提出现代股份制企业中剩余索取权和剩余控制权对称安排是企业家人力资本与企业产权安排的有效路径。

Abstract:Makes from the Sole Proprietorship to Partnership to arrive the modern stock- company type enterprise again, in the entire enterprise vicissitude process, the Entrepreneur Human Capital more and more prominently demonstrated it influence and function. The Entrepreneur Human Capital and the Enterprise Property Right arrangement different pattern and the camera government directly affects the Entrepreneur Human Capital to drive the level, the degree and the anterprise govern the etfficiency. This article from historical, the reality logic the entrepreneur human capital and the enterprise property right arrangment carries on the inspection to three kind of typical enterprises shapes in, and propesed in the modem stock - company type enterprise Residual claim and Residual rights of control symmetrical arrangement is the Entrepreneur Human Capital and the Enterprise property right arrangement effective way.
