股利分配请求权保护制度研究

股利分配请求权是股权的核心权利之一,保护股东的股利分配请求权对于激发投资积极性、刺激证券市场发展和推动公司治理结构的完善有着重要意义。但从我国的制度现状和司法现状来看,公司常年不分红等损害中小股东股利分配请求权的情况较为普遍。本文从立法和司法两个角度,结合英美比较法的规定,对我国股利分配请求权保护制度提出若干完善意见。

Research on the Protection System of Dividend Claim Right

Dividend distribution right is one of the core rights of equity.Protecting shareholders’dividend distribution right is of great significance to stimulate investment enthusiasm,stimulate the development of the securities market and promote the improvement of corporate governance.However,judging from the status quo of the system and the judiciary in China,it is more common for companies to damage dividend claims of small and medium shareholders,such as non-dividends.This article from the perspective of legislation and judicature,combined with the provisions of the Birtish and American Comparative Law,puts forward some perfect opinions on the protection system of the right to claim dividend distribution in China.
