| 摘 要： | 城市商业银行是我国金融体制改革的产物，在服务市民、服务中小企业、服务地方经济等方面正日益发挥着重要的作用，已成为我国商业银行体系中一支富有活力的生力军，成为银行业乃至国民经济发展不可缺少的重要组成部分．但也应清楚地看到其体制和法人治理结构等方面的问题，严重制约着其可持续发展，必须健全产权制度和完善法人治理结构，才能有效矫正其现存缺陷，实现其良性循环和可持续发展．
