| 摘 要： | MBO(管理者收购)在降低代理成本、改善企业产权结构、激励内部人积极性等方面起列了积极作用。但从我国现实条件看,运用MBO仍然面临着难题,从而导致收购过程不公开、交易价格不公平、资金来源和支付方式朦胧,无法达到预期效果。由此,目前在我国运用MBO时要慎行,只有在规范的收购程序、完善的监督管理机制和强化的信息披露制度下,才真正能够实现MBO之后公司经营绩效的提高和持续良性发展。

Problems and Suggestions of Applying MBO in China |

| Abstract: | MBO has an active influcncc on reducing the agency cost, improving the property right structure and motivating the activcncss of internal staff. But we given the condition in China, for the purchasing process is not open, trading price is not fair, and capital source and pay-way are not clear. At present, we should use MBO carefully. Only abiding standard purchasing process, consummate supervision and management procedure and information announced institution, enterprises raise operating achievement and continual development after MBO. |
