论设立中公司的法律人格

设立中公司是指自公司章程制定时起，至公司登记成立或依法清算结束并完成公示时止，尚未取得法人资格的过渡性实体。设立中的公司在本质上应属于非法人团体，但不是一般意义上的非法人团体，在某些方面已经突破了传统民法理论关于非法人团体的界定。这种突破表现在设立中的公司尚未进行登记、具有较充分的权利能力和行为能力、最终责任的承担将因其最终命运的不同而走向不同的方式等等。设立中公司具有一定的权利能力、行为能力和责任能力。

On Legal Status of Corporation in the Process of Establishment

A corporation in the process of establishment is a transition entity, which exists from formulation of corporate rules and regulations to corporate registration or to finishing liquidation and public announcement in accordance with the law, but doesn＇t have the legal status of corporation. The corporation in the process of establishment is essentially a quasi-corporation, but is not a quasi-corporation in general sense. This has broken through the definition of quasi-corporation in the classical theory of civil law in certain aspects, which is embodied in the following aspects ： the corporation in the process of establishment hasn＇t carried out registration, but has had some capacity for fight and conduct, and will hold corresponding liability in actual circumstances. The corporation in the process of establishment has capacity for right, capacity for conduct and capacity for liability to some extent.
