论我国公司法中虚假出资的民事责任

新《公司法》对公司资本制度做了较大的修改，这些修改和完善有利于公司的设立和发展、鼓励投资及进一步繁荣市场经济。但对虚假出资的规定，尤其是关于虚假出资的民事责任的规定，公司法仍然存在一些缺陷。有鉴于此，采用比较研究和案例分析等方法，从虚假出资的定义、表现形式出发，提出了我国关于完善虚假出资民事责任的具体建议，希望能对今后关于此问题的立法修改和完善起到一定的积极作用。

Analysis for the Civil Liability of on False Capital Contribution in Company Law

Great changes have been made on the company＇s capital system in new ＂Company Law＂. These changes and improvement are favorable to the establishment and development of companies, and encouraging investment and further prosperity of a market economy. But the ＂Company Law＂ remains imperfect in false capital contribution, especially in its civil liability. This paper adopts the methods of comparison and case - analysis, which begins with the definition and manifestation of false capital contribution, to provide some recommendation for perfecting the civil liability of false capital contribution. It is hoped that this paper will play a positive role in modifying and improving the legislation.
