论证券内幕交易民事责任制度的借鉴与构筑

建立我国内幕交易的民事责任制度是一个复杂而有挑战性的系统工程,是构建证券民事责任制度的重要环节。本文首先考察了证券内幕交易民事责任制度的相关立法体例,并对其进行了比较分析,在对我国证券内幕交易民事责任制度的现状进行了梳理之后,本文认为证券法中民事责任的严重缺位应当通过借鉴美国等国家在内幕交易民事责任问题上的立法经验,尽快在证券法中直接规定内幕交易的民事责任来进行弥补,强化对投资者的私法救济。文章最后就证券内幕交易民事责任的证券法条文提出立法建立。
