| 摘 要： | 有限责任制度将投资风险从股东转移到债权人,造成二者利益失衡,诱发了过多的风险性投资。为此,必须加强对债权人利益的保护,尤其是因公司故意或重大过失而产生的侵权之债,必须要求股东按投资比例承担补充责任。
