| 摘 要： | 针对上市公司在治理结构中存在的内部人控制股权结构不合理、约束机制不健全等问题,提出了相应的对策,即充分发挥债务融资的作用,利用市场手段控制经营者;优化股权结构,改变我国上市公司国家股高度集中的态势。
