| 摘 要： | 美国OTC资本市场数量众多、层次多样,为不同规模、不同需求的企业提供了利用资本市场进行股权融资,获得发展的机会。本文介绍了美国OTC资本市场发展和分层现状,从上市范围、上市标准、信息披露、监管、交易制度以及上市成本等方面对美国不同层次的OTC市场进行了比较分析,最后总结了美国OTC资本市场的一些共性特点和启发。
