| 摘 要： | 向独立董事提供以股票为基础的薪酬是各国独立董事薪酬激励发展的方向，而股权激励发挥作用需要一个有效的市场环境及独立董事的职业化和市场化发展。因此，中国要致力于培育充分竞争的独立董事市场，建立独立董事的准入和退出制度，也可成立独立董事协会以规范独立董事的执业行为。

| Abstract: | The developing direction of independent directors incentive mechanism is the stock-based compensation.The function of stock incentive needs the effective market enviornment and the professional and marketlization of the independent directors.So we should try best to cultivate the adequate competitive market of independent directors,set up the systems of independent directors' join-in and quit,and form the undependent directors commiffee to manage the vocational behavior of independent directors. |
