| 摘 要： | 本文作者从2006年9月10日香港太古集团整体购并厦门绿泉实业有限公司这一案例谈起，讨论了国有企业改制“靓女先嫁”模式中存在的问题。作者认为，应从国有资产价值的客观评估、通过立法规范国有企业改制的“靓女先嫁”模式、设立并购安全港指标等方面着手来解决这些问题。

| Abstract: | The Swire Pacific Limited of Hongkong merged the Lvquan Enterprise of Xiamen on Sep. 10th, 2006. From this merging case, the author of this article discussed some problems exist in during the process of transition of State -owned Enterprise. The author thinks, in order to solve these problems, we should evaluate state - owned capital fairly and properly, standardize the mode of Marry First the Beautiful Girl under related law or regulations, and adopt safe-port index as the U.S. A for seek of probably monopolization when merging happened. |
