| 摘 要： | 股利分配对实现股东投资利益具有不可替代的重要作用。在对税后利润的处理上主要存在公积金和股利分配需求上的矛盾,应衡量留存公积金的合理性,并确立股东的股利分配请求权制度。股利分配也可能损及公司债权人利益,应确定“偿付能力标准”来规制,并赋予债权人相应的救济权。

| Abstract: | The division of stock bonus plays an important role in realizing stock holders’ investment profits.In dealing with the profits after taxes,there exists the contradiction between accumulation fund and the needs of division of stock bonus.We should think about the rational existence of accumulation funds,and establish the system of applying system.The division of stock bonus may damage the profits of creditors,so we should establish the rules of the standard of repaying abilities and give corresponding right to creditors. |
