| 摘 要： | 由于我国特殊的股权结构特征,国有非流通股“一股独大”,流通股股东的合法权益难以保障已是不争的事实,公众股东在股东大会上难以真正地发挥作用,无法对大股东做出的决策施加实质性的影响,沉重打击了公众股东参与治理的积极性,影响了整个证券市场的健康发展。类别股东表决制度即是为了解决这种不平衡而进行的公司治理制度创新。对类别股东表决制,应吸收中国证监会《关于加强社会公众股股东权益保护的若干规定》的制度精华,在《公司法》中对类别股东表决制进行完善,建立统一的类别股东表决制度。
