中国保荐制的推出和保荐人选拔制度

保荐制作为一项系统工程,与之相关的配套环境改革及其影响远大于保荐制本身。对我国建立保荐人制度所要求的相对宽松的监管环境、严格的惩戒措施、市场化的业务运作基础进行了探讨,对保荐人资格的认定、保荐人和保荐机构的权利义务划分及其法律责任界定等进行分析,对此提出相应建议。

The recommend and guarantee system is of importance to strength the responsibility of the media organization and to pull forward the development of the security market. However, in a system project, the influence of relevant reform is stronger than recommend and guarantee system itself. The article studies on the comparatively looser supervision, strict punishment, and market operation, which the recommend and guarantee system demands, and gives suggestion on the choose of the recommender, the right and responsibility of the recommender.
