摘    要:在所有权和经营权相分离以后并且以“两权分离”为特征的现代企业管理中,随着职业经理人地位的提升,人们最关注,也最难解决的问题是关于两者的利益协调问题。本文以激励理论为线对这个问题进行了比较深入的探讨,认为职业经理人和企业所有者之间是不同要素所有者之间平等的契约关系,所以他们之间应实行双向激励以达到经营权和所有权的权利制衡,从而实现企业所追求的利润最大化的目标。

Abstract:After the separation of the manage power and ownership, with the promotion of professional executives status, people pay the most close attention to the interests coordination between this two kind of people in the modern enterprises'management characterized by the separation of the two parts. Which is also the most difficult problem to solve. This paper makes a deeper discussion about this problem with the motivational theory as line. To conclude that, between professional executive and enterprise owner, there is an equal agreement relationship of different element owners. In order to reach a balance between the power of management and the ownership, A two - way encouragement system should be set up between them. This will be very helpful for us to realize the goal of enterprises, that is the maximization of profit.
