| 摘 要： | 通过对我国企业治理理论存在的缺陷分析，提出将产权制度、市场竞争与法人治理结构结合起来，构建一个P－M－G思维框架，并系统地阐述了该框架的理论逻辑与优势，最后主张在此平台上进行理论研究和指导实践。

| Abstract: | This paper provides an analysis on the defects in the corporate governance theory popular in current China and proposes a new analytical framework of P-M-G with a combination of the property rights,market competition and corporate governance structure.It also systematically elaborates the theoretical logic and advantages of the framework. |
