| 摘 要： | 目前在国内 ,国有上市公司的MBO非常普遍 ,而在国外 ,很少有对整个公司进行MBO操作。通过对比国内外MBO的差异 ,分析国有上市公司的MBO的弊端 ,寻求国有上市公司MBO背后的原因并就国资委的成立对遏制国有上市公司的MBO进行分析。

The Solution to MBO in China's State-owned Listed Companies |

| Abstract: | In our country, that management contrives to buyouts the entire stock company owned by country incurs more and more recently. But in overseas practice, there is less to buyout the entire big company. This article tries to find the difference between in and out MBO practice and analyze the key course behind the process of MBO. Finally it makes some advice to solute this problem by setting up the committee of Country Assets. |
