企业并购的风险分析与管理

本文从微观的角度即从企业层面,分析企业并购过程中不同阶段的不同风险类型及成因,并对其进行管理。对那些可以事先预防的风险,提出了切实可行的防范措施;对那些无法防范的风险,则采取风险转移、减轻、接受、应急等风险控制措施进行控制。

On Risk Analysis and Management of Enterprise Merge and Acquisition

This paper analyses the risk categories and causes of different stages in enterprises merge and acquisition from mi- croscopic aspect i.e. enterprise aspect, and then manage these risk. To those risk that can be prevented, the paper raises practical and feasible prevention measures. To those risk that can't be prevented, we can adopt a series of measures to control them, for example, risk transfer, risk mitigation, risk acceptance and risk contingency measures, etc.
