论外商投资企业法的重构

本文在阐明外商投资企业法和外资法关系的基础上,针对外商投资企业立法的现状和存在问题提出了重构外商投资企业法的构想:完善外商投资企业法的立法机构、权限和立法程序,将外商投资企业组织法并入公司法、合伙企业法、个人独资企业法,外资运作则纳入国际投资法予以调整。

Researches on the Reconstruction of Foreign Invested Enterprises Law

China's foreign invested enterprises law has met with some problems. This article analyses the relationships between foreign invested enterprises law and foreign investment law and puts forward the idea of reconstruction of foreign invested enterprises law, which will perfect the legislative body, legislation authority limits and legislative procedure, incorporate the organization law of foreign invested enterprises into company law, partnership enterprises law and individual proprietorship enterprises law, and use the international investment law to adjust capital operation.
