对我国破产重整计划制定主体制度的思考

破产重整制度的引入是我国破产立法制度的一大创新,重整成功的关键在于重整计划,重整计划是否合理与可行,直接影响着整个重整程序能否顺利进行和各方相关利益人的利益平衡,在此,重整计划的制定主体的确定显得尤为重要。我国现行破产法对于重整计划制定主体的规定存在明显的弊端与不足,本文试图结合我国的国情和现状,提出了在我国应构建以债务人制定重整计划为主的模式。     

住改商程序的法理分析及完善对策

居民自治、业主自治是住改商程序的决定性因素,维系私人利益和私权秩序的基本平衡是现行法律制度在住改商制度设计上的价值取向,住改商程序机制,强调有利害关系的业主作出同意的正式程序,完善住改商,地方性立法需要明确住改商的特别禁止范围;规划国土等行政机关应进行土地和建筑物用途转变管理的相关制度创新。
