国有企业员工参与公司治理问题研究

本文分析了国有企业员工参与公司治理的理论依据，比较评价了世界各国员工参与公司治理的方式和途径，在此基础上，构建了我国国有企业员工参与公司治理的模式，即职工持股下的员工共决制。     

Foreign‐based competition and corporate diversification strategy

Since the mid‐1980s U.S. domestic firms have faced significant increases in foreign‐based (i.e., import) competition as reductions in barriers to international commerce have resulted in markets and industries becoming increasingly global. Despite the growing and widespread importance of foreign‐based competition, the influence that such competition may exert on corporate diversification strategy is a question largely overlooked in the strategic management literature. This paper examines the impact of foreign‐based competition in a firm's core business on both the level and nature of a firm's diversification strategy at the corporate level in a panel dataset of U.S. firms over the period 1985–94. Our findings provide the first evidence that increased foreign‐based competition is indeed a statistically significant factor explaining both the reduced business‐level diversity and the increased strategic focus of U.S. firms that has been widely perceived over the past two decades. 利益相关方对企业社会责任的关注已成为现代企业竞争的新潮流。本文就为履行社会责任,企业如何将生态经营战略纳入到企业的可持续发展战略之中进行了探讨。同时,指出企业要根据可持续发展战略的不同,制订出不同的生态战略以及如何明确具体的经营策略,选择适当的指标来衡量和监控企业的生态战略绩效。     

An Innovation of the Manpower Management ——The Validity of Corporate Coaching in China

The paper presents the development and the curricular contents of corporate coaching after it has been introduced into China, and executes a survey on the coaching clients, the result of our survey shows that the farsighted development of corporate coaching in China should absorb the native and excellent management nourishment though it has achieved a famous validity in many enterprise or on a large number of individuals.     

对我国大债权人介入公司治理的探讨

笔者从债权人参与债务公司治理的前提条件的分析入手,试图建立一个理论分析框架并根据基本框架分别运用了规范和经验的研究方法,对我国目前大债权人———银行介入公司治理的现状进行梳理和分析,得出了目前我国银行尚不具备介入公司治理的条件的结论。     

Social influence effects and managerial compensation evidence from Germany

I extend existing theories of social influence effects on executive compensation while at the same time showing the context dependence of these effects. Using original data on German firms and a longitudinal design, results of this study suggest that the operating of social influence mechanisms depends on demographic and social similarity between CEOs and board chairs. The findings reconcile previous mixed findings on the role of CEO human capital factors such as education and tenure and furthermore show that board vigilance is conditional on board compensation and the presence of major shareholders with an incentive to monitor board behavior. Finally, the study contributes to compensation and corporate governance research by providing evidence on how social influence effects operate outside the United States. 上市公司治理与中小投资者保护

根据投资者保护的有关理论,分析导致我国中小投资者弱势地位的原因,讨论我国在投资者保护方面所存在的问题。在此基础上提出政策建议：完善相关立法,创建一个有利于广大投资者的法律环境；赋予小股东的股东会自行召集权、采取累计投票制以及股东表决权的排除规则等,适当限制大股东的权利；完善独立董事制度,规范董事会运作；强化监事会的作用；建立投资者权益保护协会等。     

公司治理中的银行与企业的关系

从公司治理中融资结构的角度出发，通过对比分析当今最为典型的银企关系模式的优缺点和发展趋势，结合中国的现状，提出了适合中国发展的银企关系模式。     

Analysis of Boards of Directors of Listed Companies ——Empirical Evidence from China Stock Market

Since stock markets came forth in China only about 15 years ago, there are many different characteristics of Chinese listed companies compared with those of western. According to the regulation on Chinese security markets, an effective internal governance system is composed of systems of general meeting of shareholders, board of directors, board of supervisors and managers. The general meeting of shareholders, as the highest agency of power, makes decisions on important affairs of the company and one of its most important rights is to select qualified members for the board of directors. Board of directors exercises the resolution made by general meeting of shareholders and fulfil the responsibilities authorized by general meeting of shareholder during adjournment. Among the system arrangements above-mentioned, board of directors is the most important. However, the efficiency of internal governing system of the whole company depends on board of directors. Combined with ownership structure analysis, this paper analyses the status quo of boards of directors in China and demonstrates every attribute of Chinese listed companies＇ board of directors.     

财务困境对公司业绩的影响研究述评

目前财务学界对于如何理解财务困境与公司业绩之间的关系尚未达成一致的观点，相关研究可以归纳为“财务困境成本”与“财务困境收益”之争。本文对此类文献进行了归纳、整理和评论，并指出未来的研究设计应探索三个方面的问题，即如何剔除经济困境的影响、公司业绩度量指标的选择以及财务杠杆的界定。
