The level of acquisition premia is of paramount importance in light of the vast sums paid to target shareholders and the often disappointing returns realized by corporate buyers. In this letter, we focus on the impact of R&D investments by targets on the acquisition premium contingent upon the acquirer’s financing choices. Based on a unique hand-collected sample of 407 listed European transactions, we find a positive effect of target R&D on premia paid. Yet, when acquirers finance the acquisition of an R&D intensive target with debt, the positive relation disappears. Consequently, we establish that financing sources affect bidding strategies of acquiring companies in case of difficult-to-value targets.  相似文献

ABSTRACT 1 : A wide ranging set of reforms is being introduced into the English National Health Service (NHS). They are designed to increase the market‐like behaviour of providers of care with a view to improving efficiency, quality and responsiveness of services. This paper is concerned with one aspect of those reforms: namely the policy to increase the diversity of types of providers of care to NHS patients. In this context, increasing diversity means that providers will not all be standard publicly owned NHS organizations. They can be publicly owned but autonomous, or independent (both in for‐profit and not for profit). The paper discusses the wide range of organizational forms available, analyzing their governance structures It then discusses the small amount of evidence currently available about the performance of diverse providers of health care.  相似文献

Using two approaches to panel data, Granger causality analysis with semi-asymptotic tests, and a structural approach based on entropies measured on sequences of multiperiod ratings and returns, we specify the relationship between a fund’s performance and both Morningstar and Europerformance ratings. We conclude on the Europerformance agency’s forecasting ability for the Luxembourg funds, and the Morningstar agency for the French funds. Indeed, we find two groups of funds depending on their domiciliation and appropriated rating. The results of this paper have implications for the management of fund portfolios, and the structural approach, more robust to our data, must be a first process for forecast models on the basis of similar funds, minor uncertainty or risk measure, and appropriated rating.  相似文献

Using experimental economics, this paper tests the potential impacts of modifying the centralized quota exchange system in Quebec with the intent of decreasing the quota price while minimizing negative impacts on auction effectiveness. Two separate treatments are applied to a uniform price auction similar to that employed in Quebec. The first treatment is an exclusion (5% or 15%) of the highest buyer bids and seller offers. The second is a tax (2% or 10%) on all units offered for sale that remain unsold. Various combinations of the two treatments are also tested. The results suggest that exclusion of the highest bids and offers can decrease the price of the quota and that a 15% exclusion rate is more effective than a 5% rate. The tax alone has little impact on quota price. The combination of the two treatments generates a more marked reduction in both the number of exchanges and the price of the quota than when the tax or the exclusion is applied individually. However, the combination of treatments results in a greater loss of economic efficiency. In all cases, relatively small market price reductions are realized at the expense of substantial losses in economic efficiency. La présente étude teste de manière expérimentale la capacité d'une modification au système centralisé de vente du quota à faire diminuer le prix du quota laitier au Québec tout en minimisant les impacts négatifs des changements sur l'efficacité de l'enchère. Cette modification consiste à appliquer deux traitements sur l'enchère de prix uniforme où s'échange le quota. Le premier traitement consiste en une exclusion (5% ou 15%) des mises les plus élevées des acheteurs et des vendeurs. Le second traitement est une taxe (2% ou 10%) appliquée aux unités que les vendeurs mettent en marché et ne réussissent pas à vendre. Différentes combinaisons de ces deux traitements sont également testées. Les données générées permettent de conclure que le mécanisme d'exclusion des mises les plus élevées permet de faire diminuer le prix du quota, l'exclusion de 15%étant plus efficace que celle de 5%. Pour sa part, la taxe seule a peu d'impact sur le prix du quota tandis que la combinaison des deux traitements entraîne une diminution du nombre de transactions et du prix du quota plus marquée que lorsque les traitements de taxe et d'exclusion sont appliqués individuellement. Cela a comme corollaire d'entraîner une perte d'efficacitééconomique plus importante. Dans tous les cas, des baisses de prix de marché relativement modestes sont réalisées au coût d'importantes pertes d'efficacitééconomique.  相似文献

The British producer coop movement, though small, is of particular interest because of its rapid current growth and its unusual variety of organizational forms. In this paper, the history, institutional structure, recent development and economic performance of the sector are discussed and policy implications drawn. It is concluded that coops should be particularly aware of problems in management, finance and internal democracy. There remains considerable scope for further public intervention including the formation of specialized support agencies for activities like marketing and training, and to assist in the creation of new coops.  相似文献

Energy industry companies have succeeded in maintaining and even increasing their production of knowledge during the last 15 years (1985/1998) within a financial context of reducing their in-house R&D expenditures. To understand these apparently paradoxical changes, elements of analysis are sought within an evolutionary framework, and especially referring to the related developments to network-firms, user-supplier relationships, and interactive nature of innovation processes. Empirical data are provided on patents granted to a sample of the top 15 world largest companies, both operators and equipment suppliers, and for the oil production and power generation industries. Interpretation of the results suggests that two dynamics ought to be distinguished. On the one side, dynamics of the networks of technological creation are characterized by a movement upstream of the head of the network towards suppliers. On the other side networks of creation of competitive advantages and bargaining power continue to be based on the operators and their strategies of adaptation to the constraints and opportunities of their institutional, financial and competitive environment.  相似文献

ABSTRACT

Reward gap is the difference in the number and nature of rewards allocated to specific customer groups (or tiers) in a hierarchical loyalty programme. Building on the social comparison, equity and attribution theories, and two experiments conducted in a retailing context, we investigate the effect of reward gap size and visibility on both bottom-tier (BT) and top-tier (TT) customers. Findings from Study 1 show that a large reward gap reduces loyalty to the programme in BT customers, while it enhances it in TT customers. These effects are mediated by perceived fairness and perceived control. Findings from Study 2 show that a non-visible large reward gap increases loyalty to the programme in BT customers without affecting it in TT customers. This effect is mediated only by perceived fairness. Altogether, the findings highlight the mechanisms that explain the effect of the reward gap on BT and TT customers’ loyalty to the programme.  相似文献

Enterprise Resource Planning (ERP) systems offer standard functionalities that have to be configured and customised by a specific company depending on its own requirements. A consistent alignment is therefore an essential success factor of ERP projects. To manage this alignment, an ‘Operational Model Based’ method is proposed. It is based on the design and the matching of models, and conforms to the modelling views and constructs of the ISO 19439 and 19440 enterprise-modelling standards. It is characterised by: (1) a predefined design and matching order of the models; (2) the formalisation, in terms of modelling constructs, of alignment and misalignment situations; and (3) their association with a set of decisions in order to mitigate the misalignment risk. Thus, a comprehensive understanding of the alignment management during ERP projects is given. Unlike existing methods, this one includes decisions related to the organisational changes an ERP system can induce, as well as criteria on which the best decision can be based. In this way, it provides effective support and guidance to companies implementing ERP systems, as the alignment process is detailed and structured. The method is applied on the ERP project of a Small and Medium Enterprise, showing that it can be used even in contexts where the ERP project expertise level is low.  相似文献

Current statistics show that more than three out of four people in France have heard about fair trade. However, fair trade goods are purchased in significantly higher proportions by executive class people, individuals with a postgraduate education, urban dwellers and high‐income earners. Why does not everybody purchase fair trade products? An important question follows: is fair trade not really fair for consumers? This paper seeks to gain deeper insight into what social features give rise to the consumption of fair trade goods using quantitative and qualitative data to verify the reasons for which fair trade goods are consumed by particular groups in society. It shows that the lack of access to information and financial resources can explain consumers' refusal to purchase fair trade products. But this explanation is incomplete, as the meaning given by consumers to their consumption appears to be a key‐factor to understand their behaviour: refusing to buy fair trade goods can be a deliberate choice.  相似文献
