本文通过对上市公司1997-2000年的数据的证实分析,结果表明:股权集中度、内部持股比例与公司绩效均呈显著性倒U型相关;第一大股东持股比例与公司绩效正相关,国家股比例、境内法人股与公司绩效呈显著性U型上关,这说明当国家或法人持股比例较低时,与公司绩效负相关,而在持股比例较高时,与公司绩效正相关;流通股比例与公司绩效呈U型关系,即在流通股比例高低的两端,公司绩效均表现出现较高水平。  相似文献

在我国公司管理者的薪酬激励体系中,年薪、股权激励和在职消费是三个重要组成部分,系统地研究这三个组成部分之间的关系及其对公司绩效影响,对于建立有效的管理者薪酬激励制度和完善公司治理具有重要意义。本文从合作博弈的角度出发,在非对称Nash讨价还价模型的基础上,通过引入内生化的讨价还价力,构建了一个内生化的Nash讨价还价模型,并应用此模型系统地分析了管理者年薪、股权激励与在职消费之间的关系。本文理论模型分析表明:在给定年薪的情况下,管理者持股比例与在职消费之间存在替代关系。本文运用2005—2010年沪深两市A股上市公司面板数据对上述分析结果以及管理者年薪、股权激励、在职消费与公司绩效之间关系进行了实证分析,结果发现:管理者持股比例和在职消费之间存在替代关系,管理者持股比例的增加能够抑制在职消费,从而提高公司绩效。  相似文献

作为公司产权基础的股权结构决定公司治理的有效性,进而决定公司的经营绩效.本文以浙江民营上市公司为样本,对股权结构与经营绩效的关系进行了实证分析.研究结果表明,法人股持股比例与公司绩效不存在明显的相关关系;第一大股东持股比例和赫芬达尔指数与公司绩效存在弱正相关,含有控股股东的股权结构与公司绩效存在正相关;流通股比例与公司绩效存在负相关;高管人员持股比例与公司绩效存在正相关.根据实证分析结果,本文提出了相应的政策建议.  相似文献

董事作为股东及其他利益相关者的信托人,其独立性是保证公司有效运作的重要基础。本文对上市公司1999年的数据进行了实证分析,结果表明非执行董事比例与公司绩效之间的正相关关系得到了检验。另外,本文还揭示出大股东(除第一大股东外)的存在有利于提高董事会的非执行董事比例,但是第一大股东持股比例与非执行董事比例是负相关的(这主要与第一大股东大多数是国家有关系)。行业对公司非执行董事比例的影响并不显著,但作为内生性的治理机制,非执行董事比例与两职状态表现出较好的一致性。  相似文献

以我国能源电力类上市公司为样本,对其股权结构与公司绩效的关系提出假设并做了分析。实证结果与文章提出的3个假设相吻合:能源电力类上市公司股权结构中,第一大股东持股比例与公司绩效显著正相关;股权制衡度与公司绩效显著正相关;高管持股与公司绩效正相关,但不显著。结论还表明:公司规模、托宾Q值、投资支出等都与公司绩效显著正相关;资产负债率与公司绩效显著负相关。这些结论可为我国能源电力类上市公司改善股权结构、提高公司绩效提供一些思路。  相似文献

本文从分析上市公司的股权结构入手,选取股改前后上市公司的现金股利分配情况作为分析对象,运用多元回归方法来检验股权结构对现金股利政策的影响。通过回归分析发现影响上市公司现金股利支付水平的股权结构变量并未发生变化,股改前后都存在股权集中度、第一大股东持股比例及第二到第十大股东持股比例与每股现金股利呈显著正相关。  相似文献

通过建立资本结构与公司绩效的模型,应用Stata软件对资本结构与公司绩效进行两次回归分析,来研究资本结构与公司绩效之间可能存在的关系。在控制相关变量的情况下,实证结果表明:资本结构与公司绩效存在相互影响的关系,资本结构与公司绩效显著负相关。公司规模以及公司成长性与公司绩效显著正相关;第一大股东持股比例与公司绩效成反向相关关系。  相似文献

本文以高管薪酬激励为视角,将高管薪酬激励、股权集中度与企业绩效放在一个统一的分析框架下,以产权性质为依据,收集了 2007~2015 年国有企业与民营企业的面板数据,分别实证检验了高管薪酬激励与企业绩效的关系,以及股权集中度是否在其中发挥调节作用。研究发现:高管薪酬激励对企业绩效有显著的促进作用,并且国有企业中的促进作用要强于民营企业;股权集中度在国有企业中对于高管薪酬激励与企业绩效之间的关系有显著的负向调节作用,而在民营企业中不存在显著调节作用。  相似文献

本文以深、沪两市101家上市公司为样本,分行业竞争环境强弱从股权属性、股权集中度与公司治理绩效的关系进行实证分析,发现行业竞争环境强的上市公司其治理绩效与法人股比例呈三次函数关系,与流通股比例无显著相关关系;行业竞争环境弱的上市公司其治理绩效与国有股比例、法人股比例呈三次函数关系,与流通股比例无显著相关关系;行业竞争环境强的上市公司,股权分散型优于国有控股型,国有控股型优于法人控股型;行业竞争环境弱的上市公司,法人控股型结构优于国有控股型,国有控股型优于股权分散型。最后根据实证分析的结果,提出构建合理股权结构的结论性建议。  相似文献

企业环境绩效与经济绩效的关系是企业战略管理研究领域里一个比较新的研究对象。现有的研究除方法和数据方面的缺陷外,主要问题是理论模型的解释力不强。本文认为组织能力是企业环境绩效与经济绩效之间内在联系的纽带,一个基于企业组织能力的环境绩效评估体系能够对企业改善环境绩效产生持续的激励作用。据此提出“基于组织能力的企业环境绩效”的理论模型,旨在从环境管理能力建设的角度来讨论企业环境绩效评估的基础方法和原则。  相似文献

近年来,越来越多的企业通过发布企业社会责任(CSR)报告与利益相关者沟通CSR表现的情况。在CSR与企业声誉之间的关系备受关注的背景下,CSR报告质量在其中发挥着什么样的作用呢?梳理现有文献,将CSR表现划分成责任管理、市场责任、社会责任以及环境责任,通过实证检验,分别探讨各自与企业声誉之间的作用机理,并研究CSR报告质量在二者之间关系中的调节效应。研究结果显示CSR表现正向作用于企业声誉,相较于责任管理,责任实践的正向作用更强。同时CSR报告质量在二者之间的关系中具有调节效应,能够进一步提升企业声誉,并且对环境责任的调节效应最为明显。  相似文献

This paper examines the effects of a firm's intangible resources in mediating the relationship between corporate responsibility and financial performance. We hypothesize that previous empirical findings of a positive relationship between social and financial performance may be spurious because the researchers failed to account for the mediating effects of intangible resources. Our results indicate that there is no direct relationship between corporate responsibility and financial performance—merely an indirect relationship that relies on the mediating effect of a firm's intangible resources. The impact of corporate social performance on firm financial performance has been examined previously with mixed results. This study examines the possibility that corporate social performance enhances financial performance by allowing the firm to differentiate, and that this effect may be moderated both by innovation, which also drives firm differentiation, and the level of differentiation in the industry. Hypotheses concerning both direct and moderating effects are developed and tested using secondary data. Our results support both innovation and the level of differentiation in the industry as moderators for a positive relationship between corporate social performance and financial performance: corporate social performance most strongly affects performance in low‐innovation firms and in industries with little differentiation. With conceptual foundations taken from leadership theory and the resource-based view (RBV), this study examines the influence of transactional and transformational leadership on the relationship between the value of the corporate buying center and performance in supply chains. The sample consists of 58 directly linked and matched supply chains, each composed of one user (internal customer), one corporate buyer, and one external supplier. The results indicate that transformational leadership has a positive moderating effect on the relationship between the value of the corporate buying center and performance, while transactional leadership negatively moderates this relationship. Two “localness” dimensions (formalization and centralization) and two “openness” dimensions (participative and reflective) were included as controls in the analysis.  相似文献

This paper investigates the effect of compensation of corporate personnel on their investment in new technologies. We focus on a specific corporate activity, namely corporate venture capital (CVC), describing minority equity investment by established‐firms in entrepreneurial ventures. The setting offers an opportunity to compare corporate investors to investment experts, the independent venture capitalists (IVCs). On average, we observe a performance gap between corporate investors and their independent counterparts. Interestingly, the performance gap is sensitive to CVCs' compensation scheme: it is the largest when CVC personnel are awarded performance pay. Not only do we study the association between incentives and performance but we also document a direct relationship between incentives and the actions managers undertake. For example, we observe disparity between the number of participants in venture capital syndicates that involve a corporate investor, and those that consist solely of IVCs. The disparity shrinks substantially, however, for a subset of CVCs that compensate their personnel using performance pay. We find a parallel pattern when analyzing the relationship between compensation and another investment practice, staging of investment. To conclude, the paper investigates the three elements of the principal‐agent framework, thus providing direct evidence that compensation schemes (incentives) shape investment practices (managerial action), and ultimately investors' outcome (performance). 企业研发投资会影响高管薪酬与业绩的敏感性。本文以2010~2014年沪深A股上市公司数据为样本,实证检验了研发投资、企业风险与高管薪酬--业绩敏感性之间的关系。研究结论表明,研发投资与企业风险呈正相关关系;增加研发投资导致企业风险加大,高管薪酬与业绩的敏感性会有所降低;进一步地,企业风险在研发投资与高管薪酬--业绩敏感性的负向关系中起中介作用。本文不仅丰富了高管薪酬--业绩敏感性影响因素的研究,也为企业针对研发活动设计合理薪酬契约提供了决策支持。  相似文献

This article examines the relationship between corporate governance and corporate sustainability by focusing on an essential component of companies' governance structure: executive compensation programs. We propose an original empirical strategy based on a large set of the biggest capitalizations in Organization for Economic Cooperation and Development (OECD) countries over the period 2004–2018, with explicit measures of how companies integrate into executive managers' remuneration precise criteria of corporate social responsibility, an incentive scheme called corporate social responsibility (CSR) contracting. Our results show that proposing executive compensation programs including CSR criteria has a negative impact on financial performance, and a large positive impact on extra-financial performance based on the following dimensions: relationship with customers and suppliers, and community involvement. Second, we explore the moderating role of the corporate governance model by distinguishing the impact between firms with a shareholder or stakeholder corporate governance model and reveal significant differences in the impact of CSR contracting. For firms with a stakeholder corporate governance model, CSR contracting is no longer associated with a fall of financial performance and has a large positive impact on human resources, environmental, and human rights performance. On the other hand, CSR contracting has a negative impact on financial performance but no impact on extra-financial performance for firms with a shareholder corporate governance model.  相似文献

This study incorporates the external environmental context into the study of corporate acquisitions by examining the performance implications of corporate acquisitions during an environmental jolt that alters the levels of environmental munificence. We posit that compared to the periods before and after an environmental jolt, corporate acquisitions during a jolt would be positively related to firm performance. Furthermore, we suggest that organizational slack would improve firm performance and accentuate the positive relationship between corporate acquisitions and firm performance during an environmental jolt; however, it would have negative impact on firm performance and make the acquisition‐performance relationship more negative before and after a jolt. Using the Asian Economic Crisis as a natural experiment, we found general support for our core arguments based on a sample of firms from Hong Kong and Singapore. Our work demonstrates that firms can capitalize on the opportunities created by the changes in an environmental jolt. Copyright © 2009 John Wiley & Sons, Ltd.  相似文献
