Using a sample of Australian companies over the 2000–2005 period, we examine the impact of internal corporate governance on firm's total factor productivity, taking into account the interaction between internal governance and external market discipline. Our empirical findings point to a substitution effect between product market competitiveness and firm-level corporate governance. Overall, internal corporate governance mechanisms – more efficient boards and greater CEO stock-based compensation – are effective instruments for improving firm productivity. However, internal governance is less effective when a firm faces a highly competitive product market. We find only weak empirical support for an association between firm's ownership structure and productivity, and no support for an association between industry takeover intensity and firm productivity.  相似文献

We investigate the relationship between internal corporate governance and market performance across multiple countries, utilizing a comprehensive data set comprising 77,440 firm observations from 15 European Union countries over the period 2002-2018. Specifically, we examine the impact of board characteristics, including size, independence, gender diversity, CEO duality, and classified boards, on market performance. Our findings reveal that CEO duality is generally negatively related to returns, whereas independent directors and board diversity are positively related to market performance. We observe a positive association between staggered boards and market performance as well as Tobin's Q, aligning with the EU's emphasis on stakeholder investments. Upon analyzing the data at the country level, we identify that the links between board structure and performance vary by country, and there isn't a single variable that is consistently related to market returns or Tobin's Q. These divergent findings indicate that there is no universally applicable corporate governance solution that can be recommended for companies throughout Europe.  相似文献

This paper examines how corporate control is exerted in companies listed on the Brussels Stock Exchange. There are several alternative corporate governance mechanisms which may play a role in disciplining poorly performing management: blockholders (holding companies, industrial companies, families and institutions), the market for partial control, debt policy, and board composition. Even if there is redundancy of substitute forms of discipline, some mechanisms may dominate. We find that top managerial turnover is strongly related to poor performance measured by stock returns, accounting earnings in relation to industry peers and dividend cuts and omissions. Tobit models reveal that there is little relation between ownership and managerial replacement, although industrial companies resort to disciplinary actions when performance is poor. When industrial companies increase their share stake or acquire a new stake in a poorly performing company, there is evidence of an increase in executive board turnover, which suggests a partial market for control. There is little relation between changes in ownership concentration held by institutions and holding companies, and disciplining. Still, high leverage and decreasing solvency and liquidity variables are also followed by increased disciplining, as are a high proportion of non-executive directors and the separation of the functions of CEO and chairman.  相似文献

绩效和公司价值往往为学术界和实务界所重视,而风险这一反映企业行为的经济后果以及企业质量的重要指标往往被忽视。这样的一个结果是,一些看似业绩很好的公司一夜之间轰然倒塌。从已有的文献看,公司治理具有改善公司业绩及公司价值的作用,同样,我们认为,公司治理应该具有风险效应,即它可能影响到公司的风险。本文以我国证券市场2002-2005年的上市公司为研究对象,研究了公司治理对企业财务风险的影响。实证结果表明,我国上市公司的公司治理结构对企业财务风险具有一定的影响。本文的研究为人们深入认识公司治理的作用以及通过合理构建公司治理结构来有效降低企业财务风险具有一定的启示意义。  相似文献

The objective of this research is to examine whether there is a relationship between corporate governance and financial performance in Brazilian companies listed on BM & FBOVESPA, considering years 2010–2012. Therefore, data were collected from the Divext –system of disclosure of the Brazilian Securities Commission (CVM) and Net Software Enterprises –and also the CVM. Regression was used with panel data to analyze the relationship. The result showed a direct relationship between perceived market value of firms and level of disclosure. This result illustrated that the higher the disclosure of information, the higher the market value of companies. Besides the significant relationship between market value and corporate governance, a relationship was found between Corporate Governance Index and two variables: Tobin's q and Return On Assets.  相似文献

本文实证检验了不同内部控制水平下,异质机构持股在抑制管理层盈余操纵方面的公司治理效应。研究发现,相比外地或短期机构持股,本地或长期机构持股更有助于提升应计质量和降低盈余噪音;当公司存在实质性内部控制缺陷时,本地或长期机构持股在抑制管理层盈余操纵方面的治理效应显著降低;相比国有控股,异质机构持股治理效应的发挥在非国有控股公司中受内部控制的影响更大;当公司存在财务报告实质性内控缺陷时,异质机构持股发挥的治理效应明显更弱。这些结果表明,异质机构持股治理效应的发挥离不开公司内部控制机制,二者之间是互补而非替代关系,这种互补关系主要由财务报告内部控制缺陷驱动。本研究有助于深化理解异质机构持股影响公司治理的具体作用机理,为实务界和监管机构改善公司治理、加强投资者保护提供经验参考。  相似文献

The focus of this study is the role of corporate governance in ensuring exchange listed companies meet their continuous disclosure (CD) obligations. In doing so it attempts to address a deficiency in the generic corporate disclosure literature by investigating the ability of corporate governance to ensure quality corporate disclosure. Despite acknowledging that disclosure is adversely affected by agency conflict and that corporate governance is an effective control of that conflict, few studies have attempted to provide empirical evidence of a link between corporate governance and corporate disclosure quality. The results of this study show that a company's corporate governance does impact on its CD performance. In particular, it provides evidence that the likelihood of a company failing its CD obligations decreases as the proportion of independent directors on the board increases. This likelihood also decreases for firms that segregate the roles of CEO and board chair. In addition, the study also shows that declining company profitability increases the risk of CD failure. These results provide an important link between the corporate governance literature and the disclosure literature. The results of this study should provide regulators and company stakeholders with evidence to continue to demand corporate governance improvements as an important tool in improving market efficiencies.  相似文献

Common sense suggests that the adoption of better corporate governance practices, which enable greater transparency, more protection against capital expropriation, and greater rights for investors, should have the effect of reducing the risk perceived by shareholders and so lead to lower required returns. This article investigates the existence of an inverse relationship between the quality of corporate governance and the cost of equity capital for Brazilian companies. The authors begin by constructing a broad index of corporate governance quality that combines four key aspects of corporate governance: (1) transparency and disclosure; (2) structure of the board of directors; (3) ownership and control structure; and (4) shareholder rights. To estimate the cost of equity, the CAPM was applied by using ex ante market premiums calculated with a simple discounted‐dividend method. On the basis of a sample of 67 Brazilian companies traded at the São Paulo Stock Exchange (Bovespa) during the period 1998–2008, the study concludes that there is a significant inverse relationship between the cost of equity and a number of proxies for effective governance, particularly those representing transparency and disclosure. Closer inspection of the reductions in cost of capital associated with improvements in the specific governance quality index components suggests that companies would benefit the most from prompt submission of information to regulators and full disclosure of executive pay.  相似文献

本文以2002—2011年716家上市公司为样本,在动态内生性框架下,运用动态面板System GMM估计方法,在考虑了高管薪酬与其他治理机制间的交互作用情况下,研究了高管薪酬与公司绩效间的动态关系。研究结果表明:(1)前期高管持股比例与公司绩效呈负相关,前期高管货币薪酬与公司绩效呈正相关;(2)前期公司绩效对高管薪酬产生了显著的反馈效应;(3)高管薪酬与其他公司治理机制间存在"交互效应",即高管薪酬与其他治理机制间的相互作用对公司绩效产生了显著的影响;(4)高管薪酬与公司绩效间存在动态内生性。  相似文献

证券公司是资本市场最重要的行为主体之一,我国证券公司虽已建立了董事会、监事会、独立董事等现代公司治理框架,但在实际运作中其职能行使上存在许多不规范的地方。2008年金融危机告诫我们,不仅需要提高证券公司的风险防范机制,更需要建立完善的公司治理结构,促使证券公司风险防范机制作用顺利发挥。通过因子分析法将证券公司内部治理变量综合成为四个因子,即规模激励因子、结构因子、监管因子和独立性因子,进而分析内部治理因子对证券公司经营绩效的影响。  相似文献

本文以中国深、沪两市在2004年上市公司样本作为公司绩效、公司治理与管理者报酬研究对象,从公司绩效、股权结构的安排以及董事会治理三个方面,通过构建最小二乘模型进行多元线性回归,来研究公司内部治理机制对公司管理层报酬的影响。研究结果表明:公司绩效、国有股比例、董事会规模、两职兼任均对管理者报酬产生显著的影响。  相似文献

The authors examine a sample of large Australian companies over a 10‐year period with the aim of analyzing the role that firm‐level corporate governance mechanisms such as insider ownership and independent boards play in explaining a company's cost of capital. The Australian corporate system offers a unique environment for assessing the impact of corporate governance mechanisms. Australian companies have board structures and mechanisms that are similar in design to Anglo‐Saxon boards while offering a striking contrast to those of German and Japanese boards. At the same time, however, the Australian market for corporate control is much less active as a corrective mechanism against management entrenchment than its U.S. and U.K. counterparts, making the role of internal governance mechanisms potentially more important in Australia than elsewhere. The authors report that greater insider ownership, the presence of institutional blockholders, and independent boards are all associated with reductions in the perceived risk of a firm, thereby leading investors to demand lower rates of return on capital. In so doing, the study provides evidence of the important role of corporate governance in increasing corporate values.  相似文献

本文对花旗集团、德意志银行集团以及三菱东京金融集团的公司治理实践进行了详细的比较分析。研究表明,三种金融集团治理模式之间存在着显著差异,但又不乏一些共性。比较分析后得到如下启示:国有商业银行应该进行股份制改造并成为上市公司;商业银行的公司治理应该以“长期股东价值最大化”为目标;要进一步明确以风险管理原则为基础构建商业银行治理结构的重要性;应该进一步强化监事会的功能,保证监事会的独立性,并使监事具备任职的积极资格;实现责任人的绩效与薪酬额度的有机结合是我们构建高效的激励机制的努力方向;要实现我国银行业的国际化、集团化与多元化。  相似文献

以2010~2011年A股重污染行业上市公司作为研究对象,从产品市场竞争、公司治理角度考察了企业环境信息披露的影响因素。结果显示:公司治理结构的合理安排能够对提升企业环境信息披露质量产生一定的积极作用,但是产品市场竞争与公司治理机制之间的关系尚不明确。本文的研究结论意味着,在我国当前的制度背景下,要提高企业环境信息披露水平,保护利益相关者利益,有必要继续完善上市公司治理结构;同时,本研究也说明产品市场竞争并不能解释重污染行业企业环境信息披露的动机。  相似文献

This paper analyses the role played by pension plan governance structure and how it impacts on plan fees and plan performance. The results clearly show that fees decrease significantly and performance improves when pension plan governance structures permit full alignment of interests and allow greater capacity for the decision-makers to monitor and discipline the managers. It is also observed that companies managing both employee and individual funds, tend to exploit differences in the internal corporate governance mechanisms of each type of plan in order to nurture employer-sponsored plans at the expense of individual plans. These results suggest that internal corporate governance mechanisms allowing closer alignment with the interests of participants would be preferable to focusing exclusively on setting the minimum proportion of independent directors.  相似文献

This article has two related tasks. First, we review the articles published in this Special Issue on Corporate Control, Mergers, and Acquisitions. These articles provide new evidence on several aspects of corporate control and governance including the value and performance effects of various ownership groups, the impact of internal governance structures, the effects of regulatory changes on specific industries and evidence on bidding strategies in takeovers. This analysis leads us to our second task – to examine the evolution of corporate control research, broadly defined. Our analysis shows a movement in research from mergers and acquisitions to a broader analysis of corporate governance, especially internal governance features. We suggest that there is a trend toward an increase in the relative importance of internal governance compared to discipline from the market from corporate control. This trend reflects an important change over the past several decades in the means through which the market disciplines corporate behavior.  相似文献

公司治理机制被认为是影响公司违规的重要因素,然而董事高管责任保险作为一种重要的外部治理机制,是否会影响公司违规尚未得到充分研究。本文研究发现董事高管责任保险显著降低公司违规概率,符合监督效应假说。经工具变量法、Heckman两阶段模型和倾向得分匹配法稳健性检验,上述结论依然成立。影响机制分析表明,董事高管责任保险显著降低了公司违规倾向,显著增加了违规后被稽查的概率,并降低了上市公司的第一类代理成本。对董事高管责任保险的监督职能做进一步分析发现:(1)董事高管责任保险对上市公司经营违规和领导人违规的监督效应更为显著,但对信息披露违规的治理作用并不显著;(2)董事高管责任保险发挥的监督职能与股权属性和保险机构股东治理存在替代效应,与外部审计师治理和董事长CEO二职分离存在互补效应;(3)分组检验结果表明,董事高管责任保险对公司违规的监督效应在外部监管环境较差或者公司内部信息透明度较高的情况下更加显著。本文既提供了保险合约通过公司治理渠道影响公司违规的证据,同时也表明保险机构通过董事高管责任保险为中国资本市场提供了一种较为有效的公司外部治理机制。  相似文献

本文以我国上市公司为研究对象,从控股模式角度分析了上市公司股权结构对公司业绩的影响,不同的持股模式对上市公司业绩的影响主要体现在他们对各种公司治理机制效率的影响上,本文以代理理论为基础,分别对基于监督机制、激励机制、代理权争夺机制和收购机制四种公司治理机制的控股模式进行分析,结果表明。不存在某种控股模式对四种公司治理机制效率的影响具有绝对优势,但把四个方面综合起来,再结合我国目前的法律体系、市场环境以及历史因素,可以得出结论:相对控股模式更有利于公司业绩的提升。  相似文献

Recently, the presumed benefits of corporate governance have become one of the most contentious issues especially for emerging markets in Asia where institutional settings are quite different from other parts of the world. Using an internationally accepted benchmark (OECD's Principles of Corporate Governance, OECD, 2004 ), this study evaluates the progress of corporate governance practice of Chinese listed companies. A corporate governance index (CGI) is constructed to measure the quality of corporate governance practices of the 100 largest listed firms in China during 2004‐2006. The results show that Chinese companies have been making progress in the corporate governance reform. The findings also show a positive relation between market valuation and overall corporate governance practices, as measured by the CGI, among these Chinese listed companies. Additional investigation reveals that the rights of shareholders are the main driver in the relationship.  相似文献

我国大部分企业缺乏接班人计划,现任CEO突然离职导致企业不得不任命临时CEO代为行使职权。本文以我国资本市场非金融类上市公司聘任的临时CEO为研究对象,发现出于转正预期,临时CEO有较强的动机进行盈余管理,并且更多地表现为正向盈余管理行为。进一步考察CEO个体特征后发现,临时CEO是内部委任和在上市公司领取薪水的情况下更倾向于进行盈余管理。此外,有效的公司治理机制对临时CEO的盈余管理行为存在抑制作用。研究结论对于我国企业制定接班人计划具有重要的指导意义。  相似文献
